Terms & Conditions of PIEPS GmbH

1. Scope of Application

(1) These Terms & Conditions (“Terms”) apply to all deliveries and services of PIEPS GmbH, Parkring 4, 8403 Lebring, Austria (“PIEPS”) to

  • authorized distributors, agencies, and retailers (hereinafter collectively referred to as “Business Customers”), and
  • qualified professional users with a valid proof of certification (“Pro Deal Customers”).

(2) Any terms of the customer that are in conflict with, deviate from, or are in addition to these Terms shall only apply if they are expressly confirmed in writing by PIEPS.

(3) These Terms shall also apply to all future transactions, even if they are not once more expressly agreed upon.

2. Conclusion of Contract

(1) All offers of PIEPS are non-binding and subject to change. A contract is concluded only with written confirmation of order or shipment of goods.

(2) For Business Customers, prices, delivery terms, and payment terms as agreed upon in the order confirmation shall be valid exclusively.

(3) Any Pro Deal purchases are reduced-price special offers for certified professionals only (e.g. UIAGM mountain and ski guides, military mountain guides, police mountain guides, certified ski instructors, mountain rescue members, and avalanche commissions). These purchases are personal, non-transferable, and for private professional use only. Transfer or resale of Pro Deal products to third parties is not allowed. PIEPS reserves the right at any time to request eligibility verification or reject applications without cause.

3. Prices and Payment Terms

(1) For Business Customers, all prices are net ex works (EXW Lebring, Incoterms 2020), excluding VAT, freight, and packaging costs, unless otherwise agreed.

(2) For Pro Deal Customers, prices are gross prices including VAT, but excluding freight and packaging costs, unless otherwise indicated.

(3) Payment is due 30 days from the invoice date without deduction, unless otherwise agreed. PIEPS may request advance payment for certain deliveries.

(4) For Pro Deal purchases, payment shall be made by bank transfer to the account details on the invoice. Bank and transfer fees are borne by the buyer.

(5) In the event of late payment by Business Customers, default interest of 9.2 percentage points above the base interest rate p.a. shall be due in line with § 456 of the Austrian Commercial Code (UGB). For consumers under the Austrian Consumer Protection Act (KSchG), the statutory default interest in accordance with § 1333 of the Austrian Civil Code (ABGB) shall apply. Notwithstanding these provisions, PIEPS strives to reach amicable and solution-oriented arrangements with its business partners before applying default interest.

4. Delivery and Transfer of Risk

(1) Delivery dates are non-binding unless expressly confirmed in writing as binding.

(2) The risk shall pass to the customer once the goods leave PIEPS’s premises.

(3) Partial deliveries are permitted, provided they are reasonable for the customer.

5. Retention of Title

The products supplied by us shall remain our property until complete fulfillment of all payment obligations arising from the business relationship.

6. Warranty and Liability

(1) PIEPS warrants that the products will be free from material and manufacturing defects at the time of the passing of the risk.

(2) For Business Customers, a warranty of twelve (12) months from delivery is granted. For Pro Deal Customers, the statutory periods of warranty shall apply.

(3) PIEPS is only liable for damages resulting from intentional or grossly negligent conduct. Further liability, especially for consequential damages or loss of profit, is excluded as far as legally possible.

(4) The above limitations of liability do not apply in case of damages to life, limb, or health.

7. Returns and Complaints

(1) Returns are only with the prior written consent of PIEPS and are to be returned carriage paid to the return address specified by PIEPS.

(2) In justified cases, PIEPS will bear the return costs of shipment; otherwise, the return is at the cost and risk of the customer.

(3) In the case of Pro Deal purchases, there is no general right of withdrawal unless the buyer is a consumer within the meaning of the Austrian Consumer Protection Act (KSchG).

8. Data Protection

Personal data are processed exclusively in accordance with the PIEPS Privacy Policy, which is available at www.pieps.com/en/data-protection-declaration/.

9. Final Provisions

(1) The place of performance for delivery and payment is Lebring, Austria.

(2) These Terms are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(3) The place of jurisdiction for all disputes, insofar as legally permissible, is Graz, Austria.

(4) Should any provision of these Terms be or become invalid or unenforceable, the remaining provisions shall continue in full force and effect.
